Baylin Technologies to Acquire Sweden-Based RF Solutions Provider Kaelus for $42 Million

Baylin Technologies Inc. has entered into a definitive share purchase agreement to acquire 100% of Sweden-based Kaelus AB, a global provider of next-generation antenna solutions, RF conditioning, synchronization, and test-and-measurement equipment for about $42 million.

Kaelus traces its origins to 2007 in Sweden and has expanded through organic growth and acquisitions. The company has operations in the United States, Australia, Finland, and China, Kaelus brings advanced RF engineering capabilities, strong profitability, and established relationships with wireless operators and OEMs worldwide.

  • Antennas: Base station and small cell antennas, plus transparent antenna technology.
  • Synchronization: GNSS/GPS timing for cell towers and emerging anti-jamming technologies.
  • Test & Measurement: Cellular deployment and manufacturing test systems.

Baylin Chairman Jeffrey Royer added that the acquisition is expected to strengthen scale, diversify revenue, and support long-term growth across high-value verticals.

This acquisition will drive sustainable growth for Baylin Technologies by adding diversity to its RF portfolio, by reducing its leverage, and strengthen its balance sheet.

  • Revenue Growth: On a combined basis, Baylin expects 2026 revenue of approximately $141 million.
  • EBITDA Expansion: Adjusted EBITDA is expected to triple to roughly $15.9 million in 2026, before synergies.
  • Strategic Fit: Kaelus’s antenna, RF conditioning, synchronization, and test and measurement lines complement Baylin’s Wireless Infrastructure and Embedded Antenna units.
  • Attractive Valuation: The ~$42 million purchase price represents ~4.7x Kaelus’s forecasted 2025 Adjusted EBITDA.
  • Lower Leverage: Baylin expects its leverage ratio to decline from 4.9x to ~2.3x after financing.
